Regulations and Integrity

Purpose

 The mission of Top-ISO International Limited relies on our core value of "integrity". The trust of customers, regulatory agencies, and the public in Top-ISO International Limited is built on the foundation of our adherence to the principles of integrity, honesty, and fairness. However, everyone working at Top-ISO International Limited also holds other roles and relationships outside the company. If external interests or personal relationships appear to affect our work, it may raise questions about our independence and integrity. 

Scope

This policy applies to all personnel serving as employees or agents of Top-ISO International Limited. All Top-ISO International Limited personnel must adhere to this policy as well as Top-ISO International Limited's "Gifts and Hospitality Policy" and "Anti-Bribery and Anti-Corruption Policy". Top-ISO International Limited personnel must also comply with anti-bribery and anti-corruption laws of Taiwan, both at the national and local levels. 

Policy Statement

 Top-ISO International Limited personnel must: 

  1. Review their own activities and relationships to identify any areas that may conflict with their duties at Top-ISO International Limited.  
  2. Disclose all potential conflicting activities and relationships.  
  3. Develop and implement plans to relinquish any Top-ISO International Limited work that may be influenced by conflicting activities or relationships, in order to avoid conflicts.  
  4. Conduct themselves in a manner that is justifiable and reasonable, avoiding actions or decisions that may appear to be influenced.  


 Personnel of Top-ISO International Limited shall not: 

  1. Directly or indirectly use their positions at Top-ISO International Limited to seek personal gain or benefit.  
  2. Use their Top-ISO International Limited positions to benefit family members or any other individuals, companies, or organizations.  
  3. Engage in relationships with Top-ISO International Limited clients, suppliers, competitors, or other organizations that may influence business decisions or actions, or damage external trust in Top-ISO International Limited.  
  4. Fill out a Personnel and Related Parties Interest Disclosure Form, disclose potential conflicts of interest to the Ethics and Compliance Department and their manager. Top-ISO International Limited may request and collect information on the activities and interests of Top-ISO International Limited personnel to prevent or mitigate the risk of conflicts of interest.  
  5. Report any bribery activities to the Ethics and Compliance Department.  

Regulations and Examples

Top-ISO International Limited employees should avoid causing any conflicts or potential impacts between personal interests and company interests. Therefore, when employees become aware of situations (not limited to the following) where personal interests may conflict with company interests, they should proactively and fully report and explain any conflicts between personal interests and company interests (as detailed in the Personnel and Related Parties Interest Disclosure Form attached). Employees below departmental supervisory levels should report to their department's highest supervisor and Human Resouces manager; employees above departmental supervisory levels should report directly to the CEO. 

External Employment

  1. If external employment is unrelated to the work of Top-ISO International Limited and has been disclosed to and approved by the manager and the Ethics and Compliance Department, then Top-ISO International Limited personnel may hold multiple jobs and work for other companies or organizations while working for Top-ISO International Limited. Top-ISO International Limited personnel must complete the Personnel and Related Parties Interest Disclosure Form to disclose external employment. 
  2. Suppose the external employer is a direct or indirect competitor of Top-ISO International Limited, a supplier or customer of Top-ISO International Limited, or is engaged in business dealings with Top-ISO International Limited or seeking to engage in business dealings with Top-ISO International Limited. In that case, personnel should adhere to the corresponding plans approved by management and the Ethics and Compliance Department to avoid any Top-ISO International Limited decisions related to the external employer. 
  3. Using company resources (such as information, items, property, etc.) for personal activities outside the company without company permission. 

Interactions with Government or Public Institutions

  1. If employment with Top-ISO International Limited or government service is unrelated to the work of Top-ISO International Limited and has been disclosed to and approved by the manager and the Ethics and Compliance Department, then Top-ISO International Limited personnel may hold a position with Top-ISO International Limited or accept a government appointment while working for Top-ISO International Limited. Top-ISO International Limited personnel must complete the Personnel and Related Parties Interest Disclosure Form to disclose their appointment with Top-ISO International Limited or acceptance of a government appointment. 
  2. If the government or public institution has business dealings with Top-ISO International Limited, is seeking to engage in business dealings with Top-ISO International Limited, or is otherwise able to influence the activities of Top-ISO International Limited, then Top-ISO International Limited personnel should adhere to the corresponding plans approved by management and the Ethics and Compliance Department to avoid any Top-ISO International Limited decisions related to that government or public institution.  
  3.  Unless approved by the Board of Directors' Governance Committee, executives (regardless of whether they are CEOs) and directors of Top-ISO International Limited should not hold positions with Top-ISO International Limited or accept government appointments during their tenure with Top-ISO International Limited.

Top-ISO International Limited personnel teaching at educational training institutions.

Ex2.

Top-ISO International Limited personnel providing consultation and advice to applicants or candidates.  

Action2. 

Disclose to the manager and through the Ethics and Compliance disclosure page and refrain from involvement in assessments, verifications, or decisions related to applicants or candidates. 


Ex3. 

Top-ISO International Limited personnel holding part-time verification roles elsewhere.  

Action3.

 Disclose to the manager and through the Ethics and Compliance disclosure page.  


Ex.4

Top-ISO International Limited personnel's spouse providing personnel services to Top-ISO International Limited.  

Action4.

Disclose to the manager and through the Ethics and Compliance disclosure page and abstain from decisions related to the spouse's labor agency.  


Ex.5

Top-ISO International Limited personnel's son founding a company operating a product type certified by Top-ISO International Limited.  

Action5.

Disclose to the manager and through the Ethics and Compliance disclosure page and avoid involvement in Top-ISO International Limited work related to the son's company.  

Prohibition of Bribery and Improper Payments

  1. Top-ISO International Limited personnel shall not directly or indirectly offer, pay, solicit, or accept any form of bribery, illegal kickbacks, or other improper payments (monetary or otherwise).  
  2. Top-ISO International Limited personnel are required to report any incidents of bribery or corruption to the Ethics and Compliance Department, as well as any acts of solicitation of bribes.
